Sessions of the board of directors shall be presided over by the chairperson of the board of
directors.
Where the chairperson of the board of directors is unable to attend, sessions of the board shall
be chaired by the director with the highest number of shares or, in case of equality, by the oldest
director, unless otherwise provided for by the Articles of Association.
