Agreements approved or disapproved by the ordinary general meeting shall have their effects
with respect to co-contractors and third parties except where such agreements are cancelled for
fraud.
However and even where there is no fraud, the adverse consequences on the company of
agreements disapproved by the general meeting may be borne by the director concerned and,
eventually, by the other members of the board of directors.
