The Articles of Association shall, subject to the provisions of this Uniform Act, lay down the
rules governing the convening and the proceedings of the board of directors.
The board of directors shall, on the invitation of its chairperson, meet as often as possible.
However, where the board of directors has not met for more than two months, it may be
convened by at least one third of its members who shall indicate the session’s agenda.
The proceedings of the board of directors shall only be valid if all its members were duly invited
to the meeting.
