Except where there is a clause to the contrary in the Articles of Association, a director may give,
by letter, telex or telefax, a power of attorney to another director to represent him at a session of
the board of directors.
Each director shall have, during the same session, only one single power of attorney.
The provisions of this article shall be applicable to permanent representatives of corporate
persons.
