Where the chairperson is temporarily prevented from attending to his duties, the board of
directors may delegate the duties of chairperson to one of its members.
In the case of death, resignation or dismissal of the chairperson, the board of directors shall
appoint a new chairperson or delegate the duties of chairperson to a director.
