The proceedings of the board of directors shall be valid only where at least half of its members
are present. Any clause to the contrary shall be void.
Decisions of the board of directors shall be taken by a majority of the members present or
represented, unless the Articles of Association provide for a higher majority. In case of a tie, the
chairperson of the session shall have the casting vote, unless otherwise provided for in the
Articles of Association.
Any decision taken in violation of the provisions of this article shall be null and void.
