The board of directors may also grant its members special remuneration for missions and tasks
entrusted to them, or authorize the reimbursement of travel and subsistence costs and expenses
incurred in the interest of the company, subject to the provisions of Articles 438 et seq. of this
Uniform Act.
Such remuneration and costs shall be the object of a special report of the auditor to the meeting.
