Unless otherwise provided for in the Articles of Association, a worker of a company may be
appointed director where his contract of employment corresponds to an effective job. Likewise,
a director may conclude a contract of employment with the company where such contract
corresponds to an effective job. In this case, the contract shall be subject to the provisions of
Articles 438 et seq. of this Uniform Act
