The conditions for the election of directors shall be freely laid down in the Articles of Association
which may provide for the distribution of the seats according to the categories of shares.
However, and subject to the provisions of this Uniform Act, such distribution shall neither
deprive the shareholders of their eligibility to the board of directors nor a category of shares of
its representation on the board.
The directors shall be eligible for re-election unless otherwise provided for in the Articles of
Association.
Any appointment made in violation of the provisions of this article shall be null and void.
