SECTION 363

Where the increase of capital has been effected either partially or wholly by noncash contributions, the members shall designate a shares valuer where the value of each contribution or each special benefit received, or the value of total contributions or total special benefits exceeds five million (5 000 000) CFA francs. The shares valuer shall be designated under the same conditions as for the formation of the company. The shares valuer may also be appointed by the president of the competent court at the request of any member, irrespective of the number of shares the said member controls. He shall draw up a report on the assessment of the assets and special benefits as was made by the contributor and the company. The report shall be submitted to the meeting charged with deciding on the increase of capital.
