Where the managers or the auditor cannot cause a decision to be taken, or where the members
cannot validly deliberate, any interested party may petition the competent court to pronounce
the dissolution of the company.
The same shall apply where the shareholders’ equity is not reconstituted within the prescribed
time limit.
The action shall be extinguished where the grounds for winding up the company have ceased to
exist by the date the competent court is to rule on the merits of the case.
