In ordinary meetings or in ordinary written consultations, decisions shall be adopted by one or
more members representing more than half of the capital.
Failure to attain this majority, and except otherwise stipulated by the Articles of Association,
the members shall once more be convened or consulted, as the case may be, and decisions shall
be taken by a majority vote irrespective of the proportion of the capital represented.
However, in all cases, managers may not be removed except by an absolute majority.
