SECTION 355

The agreements not approved by the general meeting shall nonetheless have effect. It shall be the responsibility of the contracting manager or member, individually or jointly, as the case may be, to bear the consequences of the agreement which may be detrimental to the company. An action for damages shall be instituted within three years from the date of conclusion of the agreement or, where it has been concealed, from its disclosure. Where the company is a sole proprietorship and the agreement has been concluded with the sole proprietor, this fact shall merely be entered in the record of deliberations.
