Ordinary collective decisions shall be those taken to review the summary financial statements
of the previous fiscal year, to authorize management to carry out the transactions for which the
Articles of Association provided for prior approval by the members, to appoint or replace
managers and, where necessary, the auditor, to approve agreements between the company and
one of its managers or members and, in general, to decide on all matters that do not entail
amendment of the Articles of Association.
Where the company is a sole proprietorship, the provisions of Articles 558 to 561 of the Uniform
Act, excluding those of the second paragraphs of Articles 558 and 559 below, shall apply. The
provisions of this Chapter which are not contrary hereto shall also apply.
