With regard to the annual general meeting, the right to be served company documents shall
concern the summary financial statements of the fiscal year and the management report prepared
by the manager, the text of the proposed resolutions and, where necessary, the auditor’s general
report as well as the auditor’s special report relating to agreements signed between the company
and a manager or member.
The right to be served documents shall be exercised during the fifteen days preceding the holding
of the general meeting.
From the date of service of the above documents, any member shall have the right to ask in
writing questions which the manager shall be bound to answer during the general meeting.
With regard to meetings other than the annual general meeting, the right to be served shall
concern the text of the proposed resolutions, the manager’s report and, where necessary, the
auditor’s report.
All decisions taken in violation of the provisions of this article may be annulled.
A member may, at any time, also obtain copies of the documents listed in paragraph one of this
article for the last fiscal years. Similarly, any member who is not a manager may, twice in a
fiscal year, ask questions in writing to the manager on any act likely to undermine the continuity
of the company. The manager’s answer shall be forwarded to the auditor.
Any clause contrary to the provisions of this article shall be disregarded.
