SECTION 342

The deliberations of general meetings shall be recorded in the minutes indicating the time and venue of the meeting, the full names of the members present, the documents and reports presented for discussion, a summary of the proceedings, the text of the resolutions put to the vote and the result of the vote. The minutes shall be signed by each of the members present. In case of consultation in writing, mention shall be made thereof in the minutes which shall be signed by the manager or managers and to which shall be annexed the response of each of the members.
