Acts done and commitments entered into on behalf of the company during its formation may
also be adopted by the company after its incorporation provided they are approved at an ordinary
meeting of shareholders, under the conditions laid down by this Uniform Act for each form of
company, unless otherwise provided for by the Articles of Association. The meeting shall be
fully informed of the nature and scope of each of the acts and commitments being proposed for
adoption by the company. The persons who signed such acts and commitments shall not vote
and their votes shall not be taken into account in determining the quorum and the majority.
