Except otherwise provided by the Article of Association, any acts done beyond the scope of the
mandate given or which are unrelated to such mandate may be adopted by the company, provided
they have been approved by an ordinary meeting of shareholders under the conditions laid down
by this Uniform Act for each type of company. The members involved in such acts shall not
vote and their votes shall not be taken into account in determining the quorum and the majority.
