Acts done and commitments entered into by the founders on behalf of a company under
formation, before it is incorporated, shall be brought to the attention of the members before
signature of the Articles of Association where the company does not make a public call for
capital, or during the initial meeting of shareholders, where the contrary applies.
Such acts and commitments shall be set out in a statement referred to as “Statement of acts done
and commitments made on behalf of the company under formation’’ which shall specify the
nature and extent of the company’s liability should it decide to adopt and make them its own.
