Uniform Act relating to commercial companies and economic interest groups › Title 5 › Chapter 2

SECTION 110

Acts and commitments adopted by a duly constituted and registered company shall be deemed to have been made by the company from the origin. Acts and commitments not adopted by the company under the conditions laid down by this Uniform Act shall not be binding on the company and the persons who made them shall have unlimited liability for the obligations they entail.
