In ordinary meetings or in ordinary written consents, decisions shall be adopted by one or more
members representing more than half of the capital.
Failure to attain this majority, and unless otherwise provided for in the articles of association,
members shall be, as the case may be, called or consulted a second time and decisions shall be
taken by a majority of votes cast, notwithstanding the share of the capital represented.
However, in all cases, dismissal of managers may only be decided by an absolute majority.
Any decision taken in violation of this section shall be null.
