SECTION 131

Where composition comprises proposals for the partial transfer of assets, the time limit provided for in Article 22 (1) above for the convening of a meeting of members of the composition shall be one month. The partial transfer of assets may concern a number of tangible or intangible property or, movable or immovable property. The transfer of a company or a subsidiary shall mean the transfer of property likely to be operated autonomously so as to maintain its economic activity, jobs relating thereto and to pay off debts. Where the partial transfer of assets or a company or a subsidiary is envisaged in the composition agreement, the Bankruptcy Trustee shall draw up a statement describing the tangible and intangible property whose transfer is envisaged, the list of possible uses of each property, the secured debt to which each is allocated and the share of each property in the transfer price. This statement shall be attached to the individual notice provided for in Article 122 above. The Bankruptcy Trustee shall be responsible for making known these transfer proposals by all means, in particular through legal notices, as soon as they have finally been adopted by him and the debtor and approved by a decision of the Judge Administrator.
