The board of directors shall deliberate validly only where at least half of its members are
present. Any clause to the contrary shall be deemed unenforceable.
The decisions of the board of directors shall be taken by a simple majority of the members
present or represented, unless the articles providefor a stronger majority. In the event of a tie,
the chairman shall have the casting vote, unless otherwise provided for in the articles.
Any decision taken in violation of the provisions of this Article shall be null and void.
