The deliberations of the meetings of the board of directors shall be recorded in minutes drawn up
in a special register held at the registered office. They shall be numbered and initialed by the
judge of the competent court.
Any addition, deletion, substitution or inversion of sheets of paper shall be prohibited.
The minutes shall state the date and venue of the board meeting and state the name of the
directors in attendance, represented or absent and not represented.
They shall also state the presence or absence of individuals invited to the meeting of the board of
directors pursuant to a statutory provision, and the presence of any other individual who attended
all or part of the meeting.
