SECTION 82

It is prohibited to companies not authorizedby this uniform Act to make public offerings. It is alsoprohibited to any personto transfer, through a public offering, securities of a company not authorized by this uniform Actto make public offering. Any transaction carried out in infringement of the provisions of this section shall be null.
