Where, from the time the draft merger instrument is filed withthe registry of commerce and
securities and until the completion of the transaction, the acquiring company permanently holds
the entire capital of the acquired company or companies, there is no need for an approval of the
merger by the extraordinary general meeting of the acquired companies, or preparation of the
reports referred to in articles671and672 above.
