Whether appointed in the Article of Association or not, a Manager may be removed from office
by a decision of the members representing more than half of the company shares. Any provisions
to the contrary shall be void. Where such removal from office is unjustified, it may give rise to
the payment of damages.
Furthermore, the manager may at the instance of any member and upon good cause shown, be
removed from office by the court in charge of commercial matters within whose jurisdiction the
company’s registered office is situated .
