SECTION 329

In his relations with third parties, the manager shall be vested with the widest powers to act in all circumstances on behalf of the company, subject to the powers which this Uniform Act expressly confers on members. The company shall be bound, even by those acts of the manager which do not fall within the scope of the company’s objects, unless it can prove that the third party knew that the acts were not within the scope of such objects or that he could not have been unaware of the fact in the circumstances, with the understanding that the mere publication of the Articles of Association shall not constitute such proof. The provisions in the Articles of Association limiting the powers of managers which result from this article shall not be binding on third parties. Section 3 Liability of managers
