SECTION 291

The private company shall also be dissolved when judgment to liquidate property, declare bankruptcy, or forbid the exercise of a commercial activity has been passed in respect of a member, unless the company’s Articles of Association provide for continuation or the other members unanimously decide in favour of continuation.
