SECTION 255

Neither the company nor its members may rely on a nullity as against third parties acting in good faith. However, nullity based on lack of consent or incapacity may be relied on, even against a third party acting in good faith, by a legally incapacitated person or his legal representative or by the person whose consent was vitiated.
