Acte uniforme relatif au droit commercial général › Title 1 › Chapter 3

SECTION 151

When a commercial intermediary acts without authority or beyond the scope of his authority, his acts shall bind neither the principal nor the third party. However, when the behaviour of the principal leads the third party to reasonably believe and in good faith that the commercial intermediary has the authority to act on his behalf, the principal shall not rely on the fact, with regard to the third party, that he did not give the commercial intermediary such authority.
