Unless there is unanimous consent of the members, the assignment of all or part of the assets of
the cooperative under liquidation to an individual who was once a member of the management
committee orthe board of directors may take place only with the authorization of the competent
court.
In all cases, such assignmentmay only intervene with the respect to commitments made by the
