SECTION 134

All members’ deliberations shall be recorded in minutes which shall state the date and venue of the meeting, the last and first names of the memberspresent, the agenda, documents and reports submitted for discussion, a summary of the discussions, the text of the resolutions put to vote and the outcome of the votes. In case of a vote by mail, it shall be stated in the minutes. In the event of a remote vote, it shall also be statedin the minutes as well as any potentialdisruptive technical incident that occurred during the meeting. The minutes shall be signed in accordance with the conditions provided in this uniform Act for each form of company. In the event of written consent, it shall be statedin the minutes, to which shall be appended the response of each member. Theyshall be signed in accordance with the conditions provided for in this uniform Act for each type of company.
