Vis-à-vis third parties, the management body, officers and board shall have, within the time
limits set forthin this uniform Act for each type of company, full powers to bind the
companywithout having to produceof a special power of attorney. Any limitation of their legal
powers by the articles of association shall be unenforceable againstbona fide third parties.
