Where the merger is realized by the setting up of a new company, such company may be formed
without other contributions apart from those of the merging companies.
In any case, the draft Articles of Association of the new company shall be approved by the
extraordinary general meeting of each of the disappearing companies. The approval of the
transaction by the general meeting of the new company shall not be necessary.
