The companies and other corporate persons referred to in the Uniform Act relating to commercial
companies and economic interest groups shall, within a month of their formation, apply to the
Registry of the court within whose jurisdiction their registered office is located for registration
in the Trade and Personal Property Register Rights Register.
The application shall state:
1°)
the corporate name;
2°)
where applicable, the business name, trade mark, emblem, symbol, acronym or logo;
3°)
the activity or activities carried out;
4°)
the form of the company or corporate person
5°)
the amount of the share capital specifying the amount of any contributions in cash and the
valuation of any contributions in kind;
6°)
the address of the registered office and, if need be, that of the principal establishment and
that of each of the other establishments;
7°)
the duration of the company or corporate person as provided for in its Articles of
Association;
8°)
the full names and address of partners who have unlimited personal liability for the
company’s debts, specifying their date and place of birth, nationality, date and place of
marriage, the kind of marriage settlement adopted and any provisions enforceable against
third persons restricting the free disposal of property of the spouses or the absence of such
provisions, as well as any petitions for the separation of property;
9°)
the full names, date and place of birth and address of managers, directors or partners with
general power to bind the company or corporate person;
10°) the full names, date and place of birth and address of the Auditors where their appointment
is provided for by the Uniform Act relating to commercial companies and economic
interest groups.
