The board of directors may also grant its members exceptional compensationsfor missions and
mandates entrusted to them, or authorize reimbursement of travel expensesand those incurred
inthe interest of the company subject to the provisions of articles 438 et seq.
These compensations and expenses shall result in a special report of the auditors intended to the
meeting.
