A company whose registered office is located in a State Party may offer its shares in one or more
other State Parties by making public offers. In such a case, it shall be subject to the provisions
of Articles 81 to 96 of this Uniform Act in the State Party of its registered office and in such
other State Parties.
Where the public offer of shares is not made by the issuer, the company making the offer shall
be subject to the provisions of Articles 81 to 96 of this Uniform Act in the State Party of the
issuer and in the other State Parties where the public offer is made.
