Uniform Act relating to commercial companies and economic interest groups › Title 3 › Chapter 11

SECTION 73

Founders and first members of the management organs of the company, directors and managing directors shall deposit at the Trade and Personal Property Rights Register a declaration wherein they describe all the actions carried out towards the regular formation of the company and by which they affirm that such formation has been carried out in conformity with this Uniform Act. This document shall be known as the “Declaration of regularity and conformity”. Provided that the application for registration of the company in the Trade and Personal Property Rights Register shall be rejected save upon presentation of the said document. The declaration shall be signed by its authors. However, it may be signed by one of the said persons or several of them provided they are authorised to do so.
