SECTION 562

Registered capital of a company shall be increased either by issuing new shares or by increasing the face value of existing shares. New shares shall be paid up either in cash, or by set-off with certain, liquid and due claims on the company, or incorporation of reserves, profits or issue premiums, or by non-cash contributions. The increase of capital by raising the face value of shares shall be ordered only with the unanimous consent of shareholders, save where it is made by incorporation of reserves, profits or issue premiums.
