The sole shareholder shall, within a period of six months following the close of the fiscal year,
take all the resolutions falling within the jurisdiction of the annual ordinary general meeting.
Resolutions shall be taken upon the reports of the managing director and of the auditor who
attend general meetings in accordance with the provisions of Article 721 of this Uniform Act.
