SECTION 280

The managing member removed may decide to withdraw from the company by applying for the refund of his dues the value of which, failing agreement between the parties, shall be determined by an expert appointed by the competent court through summary proceedings. A manager who is not appointed by the Articles of Association, whether or not he be a member, may be removed by decision of the majority in number and in capital of the other members. Where the manager whose removal is submitted to the vote of members is himself a member, the decision shall be taken by the majority in number and capital of the other members.
