The Articles of Association shall organize the management of the company.
They may appoint one or more managers who may be members or not, natural or corporate
persons, or provide for such appointment in a subsequent instrument.
Where the manager is a corporate person, its officers shall be subject to the same conditions and
obligations and shall incur the same civil and criminal liability as if they were managers on their
own account, notwithstanding the joint and several liability of the corporate person they are
managing.
Where the management is not organized by the Articles of Association, all the members shall
be deemed to be managers.
