A member may be represented by an authorized person under conditions laid down by this
Uniform Act and, where necessary, by the Articles of Association. Except otherwise provided
by this Uniform Act, such proxy may be granted only to another member.
This Uniform Act or the Articles of Association may restrict the number of members and the
number of votes a proxy may represent.
