Directors shall be liable individually or jointly, where appropriate, to the cooperative or third
parties for infringing legal or regulatory provisions governing cooperatives with a board of
directors, for violating the provisions of the articles and for mismanagement.
Where several directors are jointly liable for the same offenses, the competent court shall
determine the share of each one for the repair of the damage.
