SECTION 742

Any clause of the Articles of Association subjecting the institution of the action in the company’s interest to a prior notice or to the authorization of the general meeting, or imposing in advance renunciation of the institution of such action shall be void. No decision of the general meeting may extinguish an action against the directors or the managing director, as the case may be, for wrong committed in the course of their duties.
