The promoters of the company who are responsible for the nullity of the company and the
directors or Managing Director in office at the time when the nullity of the company occurred
may be declared jointly and severally liable for damage suffered by shareholders or third parties
as a result of the nullity of the company.
Shareholders whose contributions or benefits have not been verified and approved may also be
jointly and severally liable.
