SECTION 556

The proceedings of a special meeting shall be valid only where the shareholders present or represented hold at least half of the company’s shares, on the first invitation, and one quarter of the shares, on the second invitation. Where the last quorum is not met, the meeting shall hold within a period of two months from the date fixed by the second invitation. The quorum shall remain fixed at one quarter of shareholders present or represented holding at least one quarter of the company’s shares.
