The extraordinary general meeting of shareholders shall alone be empowered to amend all the
provisions of the Articles of Association of the company.
Any clause to the contrary shall be disregarded.
The extraordinary general meeting shall also be empowered to:
1°) authorize mergers, scissions, transformations and partial contributions of assets;
2°) transfer the registered office to any other town of the State Party where it is located or to the
territory of another State Party;
3°) winding up the company prematurely or extend the duration of its existence.
However, the extraordinary general meeting may increase the commitments of shareholders
above their contributions only with the consent of each shareholder.
