Uniform Act relating to commercial companies and economic interest groups › Title 3 › Chapter 8

SECTION 54

Unless otherwise provided in the Articles of Association, the rights and obligations of each member as stipulated in Article 53 of this Uniform Act shall be proportional to the amount of his contributions, whether such contributions were made during the formation of the company or during its lifetime. However, provisions attributing all of the company’s profits to a member, or exonerating a member from all liability for losses, as well as those excluding a member from sharing in the profits or charging all losses to one member shall be void.
